## 2. Services

### 2.1 Service Description
TechSpeak offers the following services as described on our website:
– Google Business Profile Management (monthly)
– Google Business Profile Setup (one-time)
– Google Business Profile Reinstatement (one-time)
– Google Business Profile Optimisation (one-time)
– Google Business Profile Audit (one-time or free)
– Review and Reputation Management (monthly)

### 2.2 Service Delivery
All services are delivered remotely. We do not require physical access to your business premises. You grant us manager-level access to your Google Business Profile to perform the agreed services.

### 2.3 Free Audit
Our free GBP audit is provided without obligation. It includes a basic profile review and is delivered by email. The free audit does not constitute the commencement of a paid service agreement.

## 3. Client Responsibilities

To enable us to deliver our services effectively, you agree to:

– Provide accurate and complete information about your business
– Grant us the necessary access to your Google Business Profile
– Respond to our requests for information within a reasonable timeframe
– Inform us promptly of any changes to your business information
– Not take actions on your GBP that may conflict with our work without notifying us first

## 4. Payment Terms

### 4.1 Fees
Service fees are as agreed in your service agreement or as listed on our pricing page at the time of engagement.

### 4.2 Monthly Services
Monthly plans are billed in advance. Payment is due at the start of each billing period.

### 4.3 One-Time Services
One-time services are invoiced upon agreement and are due before work commences, unless otherwise agreed in writing.

### 4.4 Late Payment
We reserve the right to suspend services if payment is not received within 14 days of the due date. Services will resume upon receipt of outstanding payment.

### 4.5 Currency
Prices are quoted in Indian Rupees (INR) for Indian clients. International clients will be quoted in USD or GBP as applicable.

## 5. Cancellation Policy

### 5.1 Monthly Plans
You may cancel a monthly plan at any time with 30 days written notice. No refunds are provided for the current billing period.

### 5.2 One-Time Services
One-time services that have commenced cannot be cancelled or refunded. If work has not yet commenced, a full refund will be provided upon written request.

### 5.3 Reinstatement — No Fix, No Fee
For GBP reinstatement services, if we are unable to reinstate your profile after exhausting all available channels, you will receive a full refund. This applies only to the reinstatement service fee — not to any other services engaged simultaneously.

## 6. Results and Guarantees

### 6.1 No Ranking Guarantee
We do not guarantee specific rankings on Google Maps or in local search results. Google’s algorithm is determined by Google, not by us. We apply best practices and proven strategies, but rankings can be affected by factors outside our control.

### 6.2 Reinstatement
Our 98% reinstatement success rate is based on historical results. We cannot guarantee reinstatement in every case, particularly for profiles with repeat violations, fraudulent history, or where Google has made a final decision. In cases where reinstatement is not possible, our No Fix, No Fee policy applies.

### 6.3 Review Generation
We do not guarantee a specific number of reviews. Review generation depends on customer participation, which is outside our direct control. All reviews we facilitate comply with Google’s guidelines.

## 7. Intellectual Property

### 7.1 Our Content
All content on our website — including text, design, graphics, and code — is the intellectual property of TechSpeak. You may not copy, reproduce, or distribute our content without written permission.

### 7.2 Your Content
Any content you provide to us (photos, business information, copy) remains your property. You grant us a non-exclusive licence to use it solely for delivering your agreed services.

## 8. Confidentiality

We treat all client information as confidential. We will not disclose your business information, profile data, or service details to any third party without your consent, except as required by law or to deliver your services via authorised sub-processors.

## 9. Limitation of Liability

To the maximum extent permitted by law:

– TechSpeak is not liable for any indirect, incidental, consequential, or punitive damages arising from our services
– Our total liability to you for any claim arising from our services is limited to the total fees paid by you in the 3 months preceding the claim
– We are not responsible for actions taken by Google, including profile suspensions, ranking changes, or review removals

## 10. Indemnification

You agree to indemnify and hold TechSpeak harmless from any claims, losses, or damages arising from your breach of these Terms, your use of our services, or any inaccurate information you provide to us.

## 11. Third-Party Services

Our services involve working within Google’s platform. We are not affiliated with, endorsed by, or officially connected to Google LLC. Google’s own terms of service and policies apply to your Google Business Profile at all times.

## 12. Governing Law

These Terms are governed by the laws of India. Any disputes will be subject to the exclusive jurisdiction of the courts of Jaipur, Rajasthan, India.

For clients based in the United Kingdom, disputes will be governed by the laws of England and Wales. For US-based clients, the applicable law will be determined on a case-by-case basis.

We may update these Terms from time to time. We will notify existing clients of material changes by email. Continued use of our services after changes are posted constitutes acceptance of the updated Terms.
